1. Acceptance of Terms

By accessing, browsing, or utilizing the Holdway platform, WhatsApp checkout links, or web applications operated by HOLDWAY TECHNOLOGIES LTD("Company", "we", "us", or "our"), a company registered under the Corporate Affairs Commission of the Federal Republic of Nigeria (RC: 9700559), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Description of Platform & Escrow Services

Holdway provides conversational e-commerce infrastructure and escrow payment protection for social commerce merchants and retail buyers in Nigeria.

• Escrow Vault Protection: Buyer funds are safely held in dedicated payment accounts powered by licensed financial partners (Nombank MFB / Nomba Financial Services Ltd) until the ordered goods are delivered and confirmed.
• Conversational Checkout: Intent parsing, quantity updates, address verification, and delivery tracking are processed via WhatsApp interface and web micro-applications.
• Automated Logistics Booking: Logistics quotes and bookings are fulfilled via integrated third-party courier partners (Shipbubble).

3. Merchant Responsibilities

Merchants utilizing Holdway agree to:

• Provide accurate product titles, descriptions, pricing, and stock inventory.
• Refrain from listing prohibited, illegal, counterfeit, or fraudulent items.
• Package and dispatch items promptly upon buyer payment into the escrow vault.
• Provide valid settlement bank details matching their registered business or verified personal identity.

4. Buyer Responsibilities & Delivery Confirmation

Buyers utilizing Holdway agree to:

• Provide a complete, accurate delivery address (Street, LGA, State).
• Complete payment within the 24-hour virtual account validity window.
• Inspect delivered items promptly and confirm receipt by replying RECEIVED via WhatsApp.
• Auto-Release Policy: If a package is marked delivered by the courier and the buyer does not initiate a dispute within 24 hours of delivery, funds are automatically released from escrow to the merchant.

5. Platform Fees & Settlements

Holdway deducts applicable platform service fees and partner bank processing charges from total order values prior to final merchant payout settlement. Payouts are executed automatically upon order completion.

6. Limitation of Liability

Holdway is a technology platform connecting buyers, merchants, and licensed logistics/banking partners. To the maximum extent permitted by Nigerian law, HOLDWAY TECHNOLOGIES LTD shall not be liable for indirect, incidental, or consequential damages arising from courier delays or third-party banking outages.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts located in Lagos State, Nigeria.
